Sweepstakes Name: Know Money Investing Sweepstakes (the “Sweepstakes”).

Sponsor: MoneyLion Technologies Inc. (“Sponsor”) P.O. Box 1547, Sandy Utah 84091-1547.

Sweepstakes Period: This Sweepstakes begins at 12:00:00 a.m. ET on January 29, 2024 and ends at 11:59:59 p.m. ET on February 5, 2024 (the “Sweepstakes Period”). Sponsor’s computer clock will be the official timekeeper for this Sweepstakes.

The Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void outside the Fifty (50) United States and the District of Columbia (“D.C.”) and wherever prohibited or restricted by law.

Eligibility Requirements: This Sweepstakes is open to any MoneyLion account holder in good standing as of the beginning of the Sweepstakes Period and who is a legal resident of the fifty (50) United States and D.C. and who has reached the age of majority in their state of residence as of the date of entry (each, an “Eligible Participant”).

The following classes of persons are not eligible to enter the Sweepstakes:

• Employees, officers, and directors of Sponsor and its respective franchisees, affiliated companies, subsidiaries, distributors, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the design or execution of this Sweepstakes (collectively “Released Parties”), and the members of the immediate families or households of any of the above. “Immediate family members” includes, for purposes of this Sweepstakes, parents (including in-laws), grandparents, siblings (including step-siblings), children (including step-children), grandchildren (including step grand-children) and each of their respective spouses.

How to Enter: During the Sweepstake Period, each Eligible Participant must complete the following requirements to enter (each, a “Reward Entry”):

• Like and comment on the Know Money Investing Sweepstakes card located in the “Discover” feed in the MoneyLion mobile application within the Sweepstakes Period for one (1) single Reward Entry to the Sweepstakes. All comments must follow the MoneyLion Community Guidelines to qualify.
• A bonus Reward Entry (a “Bonus Entry”) to the Sweepstakes will be awarded to Eligible Participants who respond to at least one (1) other customer comment on the Know Money Investing Sweepstakes card.

The maximum number of total Reward Entries an entrant can submit during the Sweepstakes Period will be two (2) (inclusive of the Bonus Entry described above). Each entrant must submit a Reward Entry on their own behalf. Any Reward Entry submitted on behalf of another individual or using another person’s account information will be disqualified and ineligible to claim any prize. No mechanically reproduced or automated entries permitted. Use of any automated system to participate is prohibited and will result in disqualification and all such Reward Entries will be deemed void. In the event of a dispute as to a specific Reward Entry, the authorized account holder will be deemed to be the entrant and they must be eligible according to these Official Rules. Sponsor and the Released Parties are not responsible for any lost, late, misdirected, illegible, incomplete, invalid, unintelligible or otherwise damaged Reward Entries, or for Reward Entries submitted in a manner that is not expressly allowed under these Official Rules, or for any Reward Entry not submitted or received, or otherwise lost, due to any technical error or failure, human or programming error, unauthorized human intervention, inaccurate capture of misentry of any required information, or the failure to capture any such information or effects of hackers or failure of any electronic equipment, computer transmissions and/or network connections; all of which will be disqualified. Sponsor and the other Released Parties are not responsible for any failure on the part of the entrant to complete a successful qualifying transaction.

By submitting a Reward Entry, the entrant agrees that Sponsor and its agents are authorized to contact entrant via email, by physical mail, telephone, or any other form of communication to make entrant aware of information pertinent to the Sweepstakes. By submitting a Reward Entry, the entrant also agrees to receive marketing materials or information regarding Sponsor’s featured product(s), special events or promotional offers, or purchase incentives through email or physical mail from Sponsor or its agents. Entrants may opt out of further email communication at any time by clicking on the “unsubscribe” link located in the footer of promotional emails from Sponsor. By submitting a Reward Entry, the entrant understands and grants to the Sponsor a revocable, perpetual, non-exclusive worldwide license to use his/her Reward Entry, photo, video, RoarTag, name, portrait, likeness and/or other biographical information for promotional and marketing activities worldwide without compensation, permission or notification. Sponsor reserves the right in its sole and absolute discretion to alter, change or modify any Reward Entry. Entrants may revoke this license and opt out of any such further use by calling 1-888-704-6970 or by emailing Sponsor at [email protected], except that such opt out shall not apply to any uses that were already publicly disseminated (including on MoneyLion’s websites or the MoneyLion mobile app) prior to the entrant’s exercise of this opt out right.

All information submitted by an entrant will be treated according to Sponsor’s Privacy Policy, available at www.moneylion.com/privacy-notice. By participating in the Sweepstakes, entrants agree to Sponsor’s collection and use of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.

The Sweepstakes: Sponsor will select one (1) entrant in a random drawing on or about two (2) days from the end of the Sweepstakes Period (the “Winner”). Odds of winning will depend on the number of Reward Entries received during the Sweepstakes Period. The Winner selected will receive one hundred dollars ($100.00) (the “Reward”). The approximate retail value (“ARV”) of the Reward is $100.00.

Prize Conditions: A Winner with a RoarMoney account will receive their Reward credited to their open RoarMoney account within seven (7) calendar days of winning the Reward or, if such Winner does not have an open RoarMoney Account, will receive a check payable to the Winner’s order, subject to any delays or other circumstances which may delay the deposit of any Reward. By participating in this Sweepstakes, a Winner authorizes Sponsor or its agent to deposit the Reward into their RoarMoney account. Winners will have the option to receive a check made payable to his/her/their order in lieu of the credit into the Winner’s RoarMoney account if he/she/they do not have an open RoarMoney account. Any Winner that does not have an open RoarMoney account will be required to complete a Form W-9 within five (5) business days of notification or will be disqualified from receiving the Reward.

By accepting the Reward, the Winner agrees to release Sponsor and the Released Parties, and each of their respective directors, officers, employees, representatives and agents, from any and all liability whatsoever for any injuries, losses, or damages of any kind by entering the Sweepstakes or for damages of any kind caused by the Reward or resulting from acceptance, possession, or use/misuse of the Reward awarded. All local, state and federal taxes are solely the responsibility of the Winner. An IRS form 1099 will be issued if required by law. The Winner may be required to complete and sign an Affidavit of Eligibility and Liability/Publicity Release form provided to them to be returned within two (2) business days of written notification, or the Reward may be forfeited and, at Sponsor’s discretion, an alternate Winner selected. The Sponsor reserves the right at its sole discretion to substitute the Reward with another prize of equal value in the event that the stated Reward (or any component thereof) is not available. If a potential Winner fails to respond to the Sponsor’s notification and provide a completed W-9 within two (2) business days of the initial contact by Sponsor, then such person may be disqualified and an alternate Winner will be awarded the Reward at issue. Rewards are not transferable or assignable until awarded.

Additional Rules & Restrictions: By participating in this Sweepstakes, entrants agree to abide by and be bound by the Official Rules, and the decisions of the Sponsor shall be final in all matters relating to this Sweepstakes. If an entrant wins a Reward, and is later to be found to be in violation of these Official Rules, they will be required to forfeit the Reward or to reimburse Sponsor for the stated value of the Reward if the violation is discovered after the Winner has used the Reward. False, fraudulent, or deceptive Reward Entries or acts shall render entrants ineligible for any Reward.

By accepting a Reward, where permitted by law, the Winner grants to the Sponsor, its parents, subsidiaries, and related companies, and those acting pursuant to the authority of the Sponsor, a revocable, perpetual right to print, publish, broadcast, and use worldwide IN ALL MEDIA without limitation at any time the Winner’s name, RoarTag, portrait, picture, voice, likeness and/or other biographical information for advertising, trade and promotional purposes without limitation or further compensation, and without review, approval or notification, unless prohibited by law. The Winner may revoke this right and opt out of any such further use by calling 1-888-704-6970 or by emailing Sponsor at [email protected], except that such opt out shall not apply to any uses that were already publicly disseminated (including on Sponsor’s websites and/or the MoneyLion mobile application) prior to the Winner’s exercise of this opt out right. IN NO EVENT WILL SPONSOR, THE RELEASED PARTIES AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS SWEEPSTAKES OR THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF A REWARD. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH STATES LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS OF THIS SECTION MAY NOT APPLY TO YOU. By participating, entrants release and agree to hold harmless the Sponsor, the Released Parties and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Sweepstakes or its related activities or the acceptance, possession, use or of, or any harm resulting from the acceptance, possession, use of misuse of a Reward. Winners acknowledge that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relating to a Reward. Sponsor may disqualify an entrant’s Reward Entry if they are deemed to have violated these Official Rules. Persons found tampering with or abusing any aspect of this Sweepstakes or who are in violation of these Official Rules as solely determined by the Sponsor will be disqualified and all associated Reward Entries will be void. Use of script, macro or automated entry software or programs or any other means that subvert the entry process is prohibited and all such Reward Entries will be void. In the event this Sweepstakes is compromised by virus, bugs, worms, non-authorized human intervention or other causes which corrupt or impair the administration, security, fairness or proper play of this Sweepstakes, or if this Sweepstakes is unable to run as planned for any other reason, Sponsor reserves the right in its sole discretion to modify, suspend or terminate this Sweepstakes or any portion thereof and/or terminate the participation of any entrant (and void his/her Reward Entry/ies) whose conduct potentially compromises this Sweepstakes and at its sole discretion, if terminated, to award the Reward from among all eligible non-suspect Reward Entries received prior to the act requiring such termination. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

DISPUTES: EXCEPT WHERE PROHIBITED BY LAW, AS A CONDITION OF PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE THAT (A) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN AWARDS FOR, AND YOU HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES, IF ANY; AND (B) YOU ACKNOWLEDGE THAT, UNLESS YOU HAVE OPTED OUT, THE DISPUTES AGREEMENT TO WHICH YOU ARE ALREADY A PARTY EXTENDS TO THESE OFFICIAL RULES, AND THE DEFINITION OF “CLAIM” INCLUDES ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES OR ANY COMPENSATION OR CREDIT TO BE PROVIDED.

Prize: A total prize of $100.00 will be given away during the Sweepstakes Period. There will be one (1) Winner during the Sweepstakes Period chosen to receive $100.00.

Odds: One (1) Winner will be selected in a random drawing (“Random Drawing”) from among all Reward Entries received in the Sweepstakes Period. The Random Drawing will take place within two (2) calendar days after the end of the Sweepstakes Period.

Odds of winning depend upon the number of Entries received in the Sweepstakes Period. Random Drawing will be conducted by Sponsor.
